Advising on forming joint venture in Kazakhstan
Our client is an engineering company belonging to the STEP group of companies.
Kachkin & Partners was instructed to provide comprehensive legal support in the frameworks of forming a joint venture with a Kazakh company of the same profile. Several legal entities were to be established and registered under the Netherlands and Kazakh law. The term sheet prepared by our associates and approved by the parties rules the deal structure and schedule, parties’ participation and dividend distribution, key administrative procedures of the future firm (structure and competence of the management bodies, decision-making order and more), possibilities to raise additional funding and share sale order.
Our task also involves drafting an option agreement for the top manager (Russian citizen).
