Comprehensive legal due diligence of the purchasing company, support of negotiation process, drafting the agreement and related documents, control on compliance with the conditions of the deal for one year since the documents were signed. The deals main peculiarity was that the target company was encumbered with securities of a subsidiary owning a major real property object, which used to weigh the deal down.
Our merit was that we offered a way to make a deal in full compliance with Russian law and in by means that made it much cheaper for our client if certain circumstances came into effect, which, as a matter of fact, they did.
