Legal assessment of risks in connection with a transaction involving the acquisition of an IT company
Kachkin & Partners lawyers conducted a legal audit of the documents and information presented by the client concerning the activities of the IT company it intended to acquire, resulting in the preparation of a detailed legal conclusion.
The lawyers conducted a detailed analysis of the cleanness of exclusive rights to the results of intellectual activity and means of individualization of the company being acquired (including rights to its software, database, website, trademark), as well as the existing licensing contracts and user agreements. Moreover, our experts performed detailed due diligence on the risks of domain-name and trademark use by the client.
Based on the results of this work, the lawyers presented a detailed written conclusion containing recommendations on creating an arrangement for protecting the client, an assessment of the identified risks and recommendations on their minimization – particularly in terms of risks associated with challenges against the rights to the trademark and domain name.
